You represent and warrant that you are at least 18 years old, have the legal authority to bind your business to these Terms and will compny with all applicable laws in your jurisdiction.

1. No User Accounts

   Nexa Lab AI Marketing Agency does not operate as a user-account SaaS platform. Services are delivered via email, shared folders, onboarding documents, automation systems or third-party platforms.

   We do not guarantee uninterrupted availability.. Features and components may be modified, replaced, or discontinued any time.

You agree not to use the Services for unlawful or misleading purposes; violate advertising, intellectual property, data protection, or platform policies; misuse AI-generated content or automation systems; intefere with or attempt to reverse engineer the Services.

a. Client Materials

You retain ownership of content you provide. You grant Nexa Lab AI Marketing Agency a limited license to use such materials solely to perform the Services.

b. Deliverables and AI Output

Upon full payment, you receive usage rights to final deliverables.

All underlying systems, prompts, workflows, templates, automation logic, methodologies, and sources materials remain the intellectual property of Nexa Lab AI Marketing Agency unless expressly agreed otherwise.

c. Nexa Labs AI Marketing Agency Materials

All Nexa Lab AI Marketing Agency frameworks, strategies, templates, and systems are protected by intellectual property laws and may not be resold or redistributed.

10. Payment, Subscriptions and Refunds

    1. Payments

       Payments are processed via Stripe. You authorize Nexa Lab AI Marketing Agency to charge applicable fees.

    2. Subscriptions

       Subscriptions may be canceled at any time. Cancellation takes effect at the end of the current billing cycle.

    3. No Refund Policy

       All payments are final and non-refundable. Due to the immediate commencement of digital services, refunds are not provided for any reason, including dissatisfaction, unsed services, or business outcomes.

    4. No Chargebacks

       You agree not to initiate chargebacks or disputes. Chargebacks constitute a breach of these Terms.

    
    

11. Service Delivery

Service delivery begins immediately after payment. Delivery timelines may vary based on the selected Services and client cooperation.

12. Disclaimer of Warranties

The Services are provided "as is" and "as available". Nexa Lab AI Marketing Agency does not guarantee results, advertising performance, algorithm behavior or business outcomes.

13. Limitation of Liability

To the maximum extent permitted by law, Nexa Lab AI Marketing Agency is not liable for indirect, incidental, or consequential damages, including lost profits, data loss, platform restrictions or third-party service failures.

Total liability shall not exceed the fees paid in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify and hold Nexa Lab AI Marketing Agency harmless from claims arising from your use of the Services, your misuse of AI-generated content, your violation of laws or third-party rights.

15. Third-Party Services

The Services rely on third- party platforms (e.g. Stripe, AI providers, automation tools). Nexa Lab AI Marketing Agency is not responsible for their policies, outrages, or actions.

16. Governing Law and jurisdiction

These Terms shall be governed by the laws of Germany, excluding conflict-of-law principles.

The exclusive place of jurisdiction is the registerted business seat of Nexa Lab AI Marketing Agency, unless mandatory law provides otherwise.
